You've got an unlocked processor on a non overclocking motherboard. Also I'd go with 1600 ram, CAS 9.

If I overclock it to around 4.0 ghz, will it reduce the life span of the cpu by alot?

Admittedly not an area of expertise for me, but I don't think it should at all. I believe voltage levels produce more of the heat that can reduce component life. I'd try posting on the cpu forum for more expert advice.
